Chapter I   General Provisions

Article 1 These measures are formulated in accordance with the provisional rules of the Hong Kong Intellectual Property Exchange (hereinafter referred to as the exchange) for the purpose of regulating the behaviors of market participants of the Hong Kong Intellectual Property Exchange (hereinafter referred to as the exchange), protecting the interests of its members and maintaining the openness, fairness and impartiality of the market.

Article 2 the members of the exchange refer to the natural persons, legal persons or other organizations that meet the requirements specified in the standards for qualified members of the Hong Kong Intellectual Property Exchange and become members with the consent of the exchange.

Article 3 as members of the exchange (hereinafter referred to as members), members shall accept the management of membership system.

Article 4 all members of the exchange must abide by these measures.


Chapter II   Membership Management

Article 5 Classification of members: the members of the exchange are divided into members (natural persons) and institutional (company) members according to their nature.

Article 6 a member (natural person) refers to a natural person who meets the requirements specified in the standards for qualified members (natural persons) of the Hong Kong Intellectual Property Exchange, is registered in the exchange, becomes a member of the exchange with the consent of the exchange, and opens an account in the exchange.

Article 7 institutional members refer to those who meet the requirements specified in the membership standards for qualified institutions (companies) of the Hong Kong Intellectual Property Exchange, apply to the exchange for registration as legal persons or other organizations for membership, and become institutional (company) members of the exchange with the approval of the exchange.

Article 8 membership procedure

(1) According to the standard of qualified members, those who meet the requirements shall apply to the exchange for membership;

(2) Those who join the association with the approval of the exchange shall become members of the exchange;

(3) The exchange shall register the members of the qualified applicants who have passed the examination.

Article 9 acquisition and restriction of membership

(1) The membership will be obtained after the member joins the association;

(2) Membership is not transferable.

Article 10 termination of membership

The membership shall be terminated in any of the following circumstances:

1. Cancellation of account;

2. Failing to meet the criteria for qualified members after obtaining membership;

3. Lose the ability to perform the obligations of members or can not perform the obligations of members normally;

4. Being punished by disqualification.

After the termination of the membership, it will no longer enjoy the membership rights, and no other transaction shall be conducted except for selling the original shares or points.


 

Chapter III   Rights of Members

Article 11 members of the exchange shall enjoy the following rights:

(1) Have the right to trade on the exchange;

(2) Have the right to participate in the corresponding activities organized by the exchange for its members;

(3) Have the right to enjoy the consultation and guidance services provided by the exchange for its members;

(4) Have the right to enjoy the information services provided by the exchange for its members;

(5) Have the right to enjoy the publicity services provided by the exchange for its members;

(6) Have the right to criticize, suggest and supervise the work of the exchange;


 

Chapter IV   Obligations of Members

Article 12 members of the exchange shall perform the following obligations:

(1) Comply with the provisional rules of the Hong Kong Intellectual Property Exchange and relevant rules and regulations;

(2) It is not allowed to engage in illegal activities in the name of the exchange or by taking advantage of its membership, or engage in activities detrimental to the rights and interests of the exchange and other members;

(3) It shall support, assist and cooperate with the activities held by the exchange, reflect the situation to the exchange and provide all kinds of valuable information and materials;

(4) In case of any change of member information, the exchange shall be informed in time to update the member information;

(5) In case of serious violation of relevant rules, detailed rules and administrative measures stipulated by the exchange, its membership will be cancelled. If losses are caused to the exchange and other members, corresponding economic losses shall be compensated;

(6) Members shall bear the market risk, operation risk, profit and loss risk, etc. when trading intellectual property rights in the exchange.



 

Chapter V   Member Services

Article 13 members of the exchange shall enjoy various services provided by the exchange to its members. The services provided by the exchange for members are as follows:

1. Browsing and downloading information on the official website of the exchange;

2. Member email tips;

3. Member SMS prompt;

4. Member telephone consultation;

5. All kinds of intellectual property training, roadshows and lectures, project exchange meetings, consultation meetings and other activities organized by the exchange.


 

Chapter VI   Rewards And Penalties for Members

 

Article 14 for the members who have made outstanding contributions to the development of the exchange, the exchange may give the following rewards according to the circumstances:

1. Circulate a notice of praise;

2. Giving gifts;

3. Other forms of rewards as the exchange considers appropriate.

The rewards listed above can be used alone or in combination depending on the situation.

Article 15 for members who violate the rules of the exchange and relevant laws and regulations, the exchange may remind or question the members in written or oral form, and punish them according to the seriousness of the case. If the circumstances are serious, they shall be transferred to judicial and other relevant departments for handling. The punishment forms of the exchange to its members include:

1. Circulate a notice of criticism;

2. Suspension of some member rights;

3. Suspension of membership;

4. Cancellation of membership.

The punishment on members shall be investigated and implemented by the relevant departments of the exchange.

 

Chapter VII   Supplementary Provisions

Article 16 These Measures shall be interpreted by the exchange and the exchange shall have the right to amend these measures.

Article 17 these Measures shall come into force as of the date of promulgation
